Jeremy J. Ratliff

Areas of Practice

Jeremy concentrates his practice in the areas of tax, corporate, corporate transactions, estate planning and probate services. His experience includes advising clients on the choice of entity and the formation of business entities, including corporations, limited liability companies and partnerships. He provides general advice to clients regarding various business and tax issues. Jeremy has extensive experience structuring and advising clients on transactions involving corporations and/or limited liability companies, including asset purchases, stock purchases, membership interest purchases, tax-free reorganizations and mergers. He has negotiated, drafted and advised clients on various contracts. In addition, Jeremy has extensive experience drafting and advising clients on estate planning matters, including a variety of wills and revocable living trusts.

Structured and performed the tax-free reorganization of a closely held corporation with multi-million dollars of assets.
Submit application for a private letter ruling from the IRS regarding an election on an estate tax return.
Consulting and structuring numerous corporate transactions, including the purchase and sale of assets, the purchase and sale of stock/membership interests and mergers.
Formation and general business consultation to small and medium size businesses in a variety of industries.
General tax consultation and planning with individuals and small to medium size businesses, including S-Corporations, Partnerships and Limited Liability Companies.
Providing negotiation, consultation and planning services to closely held entities with regard to the structure, succession plans and ultimate sale and disposition of businesses and business assets.
Consulting and drafting of numerous estate plans.
Representing estates throughout the probate process.
